By accessing or using the AllGymnastics.com website (“Website”) or any service made available by AllGymnastics.com (“AGC”) (together, the “Service”), however accessed, you agree to be bound by these terms of use (“Terms”).
THESE TERMS AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. BY ACCESSING, DOWNLOADING OR USING THE SERVICE, YOU ACKNOWLE.DGE AND REPRESENT THAT:
YOU ARE EITHER MORE THAN EIGHTEEN (18) YEARS OF AGE, OR AN EMANCIPATED MINOR, OR POSSESS LEGAL PARENTAL OR GUARDIAN CONSENT, AND

AGC will not be liable for any loss that you incur as a result of someone else using your account or your password.

Payments
AGC has engaged third-party service providers to perform many of the services related to payment processing, including card processing, currency exchange, identity verification, fraud analysis and regulatory compliance. This also includes facilitation of card payments and other disbursement of funds to Vendors. The provider and processing time for your payment may vary based on the region in which you’re located. AGC may share your personal or transactional information with third-party service providers when it is necessary to process payments.
Through our third-party service providers, customer payments will automatically be split between AGC and Vendors so the Customer is responsible only to make a one-time payment for merchandise and/or services

Vendors/Membership and Fees
Third party vendors (“Vendors”) may partner with AGC to sell their products or services on the Website. If AGC receives notice that a Vendor’s content or activity violates AGC’s or a third party’s rights, AGC reserves the right to cancel a transaction, disable listings, suspend selling privileges, or to take any other action it deems appropriate in its sole discretion.
The AGC MarketPlace is an online store created exclusively for Gymnastics, Cheerleading or similar products and services. Whether you sell 1 product or 100’s of products, sell insurance or music, this is a great platform. We directly target your customers.
The AGC Marketplace has two types of Vendor accounts:
Seller: A Seller is an entity that sells products. The fees for this tier of membership is based on products sold and is assessed at 10% of the total sale. The benefits of being a Seller are:
Targeted consumers
1 featured product per month on the homepage of AGC’s MarketPlace (with ability for more)
1 targeted post per month on AGC’s social media platforms (with ability for more)
1 targeted email a month (with ability for more)
No additional credit card fees
Sponsorship and advertising discounts on AllGymnastics.com and at events
Vendor/Seller
10% of overall purchase price (includes cc fees)
$120 Annual Fee, or
$12 Monthly Fee*

*All monthly fees are based on a minimum of three (3) months.
Shipping
Shipping charges are assessed as a flat fee by the “Seller/Vendor” when products are listed. All Vendors agree to fulfill and ship all orders within seventy-two (72) hours of receipt. If a product is not shipped within this time frame it is the Vendor’s responsibility to alert the consumer.
Refunds and Returns
AGC is a Marketplace made up of independent Vendors who run their own shops. This means that each Vendor is responsible for their own policies regarding refunds, exchanges, and returns. Individual policies may vary from Vendor to Vendor. Absent unforeseen circumstances, Vendors are expected to process all returns within seventy-two (72) hours. Vendors are required to clearly state their policies regarding returns and refunds. This includes, without limitation:

Who will pay for the cost of return shipping for any items that are sent back to you
Before purchasing a product or service, users should locate and familiarize themselves with each Vendor’s return and exchange policy. Specific questions about a Vendor’s policies are best answered by the Vender.

License
The Service contains content owned or licensed by AGC (“AGC Content”). AGC Content is protected by copyright, trademark, patent, trade secret and other laws, and, as between you and AGC, AGC owns and retains all rights in the AGC Content and the Service. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights or notices incorporated in or accompanying the AGC Content. Also, you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the AGC Content.
With this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service only for its intended use. We may terminate this license at any time for any reason whatsoever.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NEITHER AGC NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, EMPLOYEES, MANAGERS, OFFICERS, OR AGENTS (COLLECTIVELY, THE “AGC PARTIES”) MAKE ANY REPRESENTATIONS OR WARRANTIES OR ENDORSEMENTS OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, AS TO: (A) THE SERVICE; (B) AGC CONTENT; (C) THIRD PARTY CONTENT; OR (D) SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION TO AGC OR VIA THE SERVICE. THE AGC PARTIES DO NO MAKE ANY REPRESENTATIONS OR WARRANTIES THAT THE INFORMATION (INCLUDING ANY INSTRUCTIONS) ON THE SERVICE IS ACCURATE, COMPLETE, OR USEFUL. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. UNDER NO CIRCUMSTANCES WILL THE AGC PARTIES BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, FOR ANY DIRECT, INDIRECT, ECONOMIC, EXEMPLARY, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES) THAT ARE DIRECTLY OR INDIRECTLY RELATED TO: (A) THE SERVICE; (B) AGC CONTENT; (C) THIRD PARTY CONTENT; (D) YOUR USE OF, INABILITY TO USE, OR THE PERFORMANCE OF THE SERVICE; (E) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY THE AGC PARTIES OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR OR ANY OTHER PARTY’S USE OF THE SERVICE; (F) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (G) ANY ERRORS OR OMISSIONS IN THE SERVICE’S OPERATION; OR (H) ANY DAMAGE TO ANY USER’S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY, INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF FORESEEABLE OR EVEN IF THE AGC PARTIES HAVE BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE SERVICE). IN NO EVENT WILL THE AGC PARTIES BE LIABLE TO YOU OR ANYONE ELSE FOR LOSS, DAMAGE OR INJURY, INCLUDING, WITHOUT LIMITATION, DEATH OR PERSONAL INJURY. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT WILL THE AGC PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).
BY ACCESSING THE SERVICE, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND, AND HEREBY EXPRESSLY WAIVE, THE BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA, AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”
THE AGC PARTIES ARE NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE THE AGC PARTIES FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.

THE AGC PARTIES ARE NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE THE AGC PARTIES FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.
Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
Time Limitation on Claims
You agree that any claim you may have arising out of or related to your relationship with AGC must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred.
Governing Law
You expressly agree that these Terms and any dispute arising out of these Terms or use of the Service shall be governed, construed, and enforced in accordance with the laws of New York, United States, without regard to its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). You further agree and consent to the exclusive personal and subject matter jurisdiction and venue of the state and federal courts located in Suffolk County, New York, for the resolution of any such dispute and you agree and submit to personal jurisdiction in such courts.
